Areas of Practice
New Companies
New ventures need advice on structuring ownership and management, capitalizing, protecting IP, hiring employees, and negotiating the day-to-day agreements that all businesses use to buy and sell services or products. We help our clients make the right decisions at every step and prepare the necessary documents efficiently.
Litigation & Dispute Resolution
Ranked by Chambers and Partners as among the best boutique disputes practice in New York, our litigation department has achieved results that many larger litigation teams can only dream of. Where others have caved and settled on the plaintiff’s terms, we have pressed forward and achieved total victory for our clients. Our approach cuts through the delay and obfuscation tactics practiced by many defense-side litigators and focuses on merits victory through the systematic dismantling and disruption of the opposition’s case. We regularly appear in federal and state court, as well as in commercial arbitrations administered by all major domestic and international centers.
Technology, Distributed Ledger & Crypto
Our lawyers have experience representing a wide range of technology companies, including some of the world’s best-known brands, in lawsuits and transactions. We have successfully defended crypto-currency developers in securities class actions, advised on DeFi issues, structured TOS and other terms for blockchain platforms, and generally advised DLT-focused startups on an array of issues.
Intellectual Property
Ideas, although intangible, are the most important things to protect in today’s competitive creative market. With so many channels and constantly replenishing feeds to track, tracing the ownership and originality of a design, brand name, or invention needs the laser-focused eye of a trained attorney. We’ll handle the search, application, and filing process of trademarks, copyrights, and patents. And if your intellectual property has been infringed, our litigation team will enforce your rights, from negotiating the best possible licensing agreements all the way through trial if necessary.
Commercial Transactions
The day-to-day legal work of negotiating vendor services agreements, NDAs, contracts with clients and customers, licenses for various technology platforms, engagement letters with professional services firms, etc. can become stressful and risky with the wrong counsel. We work closely with management and operations to understand our clients’ business needs and provide quick and helpful responses to move the business forward while protecting it from bad contract terms.
Latin America
We advise Latin American clients on their toughest U.S. legal issues, from enforcing foreign arbitral awards domestically to counseling initial access to the U.S. market. We also assist U.S. clients with all aspects of operations, investment, and disputes in the Latin America, pairing them with the right local counsel and handling all U.S. legal components of the deal or case.
With years of combined experience living, studying and working in Latin America, our lawyers have helped represent foreign and domestic clients on matters concerning some of the region’s most prominent companies, including Petrobras, Vale, Brasil Telecom, Aerolineas Argentinas, and Ingenieria Alpa SA. We have extensive international commercial arbitration experience.
We speak Spanish and Portuguese and have strong contacts with local counsel in Argentina, Bolivia, Brazil, Colombia, Chile, Mexico, Paraguay, Peru, and Uruguay. We are represented on the New York City Bar Association’s Committee on Inter-American Affairs.
Bankruptcy
Few business developments are as bad as when a counterparty fails to pay its debts and files for bankruptcy; or worse, when its estate seeks to clawback payments that it already made. From litigating cases of first impression at the Second Circuit to successfully resolving preference actions out of court, including numerous ones in the Sears proceeding, our lawyers have substantial experience representing creditors of all sizes in bankruptcy proceedings. We ensure that the debtor is not the only party protected.
